Extension of AGM filing (Pvt/Public/Section 8)
Every company shall in each year have to hold a General Meeting as its Annual General Meeting within a period of six months, from the date of the closing of the financial year (most of the time financial year ends on 31st March and the due date of the AGM become 30th September). Failing to hold AGM within the due date leads to a company liable for penalties u/s 99 of the Companies Act, 2013.
However, a company may by submitting request to Registrar of Companies to extend the time for holding of the AGM maximum by 3 months and company have to follow below mentioned process for extension:
- Calling of the Board Meeting
- Preparation of the Application (mentioning reason of delay)
- Preparation & filing of e-form
After submitting application, ROC will check the facts of the application and if the ROC feels that according to facts, extension should be granted then, the ROC shall give the extension letter for any period maximum for 3 months.
In the current year (2020), many companies were not in position to complete the accounting and auditing work due to COVID situation. Hence submitting an application for extension in advance would be highly suggested to be in compliant.
